1.Agreement#
Redwain Cloud is operated by [LEGAL ENTITY NAME] (“Redwain”, “we”, “us”), [MAILING ADDRESS]. By creating an account or using the service, you agree to these terms and to our Privacy Policy. If you do not agree, do not use the service.
2.Eligibility#
You must be at least 13 years old, or the minimum age of digital consent where you live, whichever is higher. If you are under 18, a parent or legal guardian must agree to these terms on your behalf and is responsible for your use of the service. If you are using Redwain Cloud on behalf of an organization, you confirm you are authorized to bind that organization.
3.What the service is#
Redwain Cloud is a hosted subscription service that provides:
- cloud storage and multi-device sync for files, used by the Homedrive app;
- storage for personal notes and shared spaces, used by the Basu app;
- an optional AI assistant (section 9);
- the account and billing portal at redwain.com.
The Homedrive and Basu client applications are licensed to you separately under their own terms. These terms govern the hosted service they connect to.
4.Your account#
You need an account to use Redwain Cloud. You agree to provide an accurate email address, to keep your credentials confidential, and to tell us promptly at support@redwain.com if you believe your account has been compromised. You are responsible for activity that happens under your account, except to the extent it results from our own failure.
One account is for one person. Do not share credentials or resell access to your account.
5.Subscriptions and billing#
Redwain Cloud is offered on a free allowance and on paid plans. Each paid plan grants a storage allowance for a recurring fee.
- Payment processor. Payments are processed by Stripe. You provide your payment details directly to Stripe; Redwain never receives your card details. Stripe’s own terms apply to the payment itself.
- Automatic renewal. Subscriptions renew automatically at the end of each billing period, at the then-current price, until you cancel. By subscribing you authorize these recurring charges.
- Cancelling and changing plans. You can change your plan or cancel at any time from the billing portal, reachable from your account page. Cancellation takes effect at the end of the period you have already paid for; you keep your paid allowance until then.
- Failed payments. If a payment fails, your subscription may continue briefly while the payment is retried. If it is not resolved, the subscription ends and your account reverts to the free allowance under section 6.
- Price changes. We may change prices. Changes apply to billing periods starting after we have given you reasonable advance notice by email, so you can cancel first if you prefer.
- Taxes. Prices exclude taxes unless stated otherwise; you are responsible for any applicable sales, use, or VAT amounts.

6.Storage limits#
Every account has a storage allowance: a default allowance for free accounts, or the allowance included in your paid plan.
If you reach your allowance, only new uploads are blocked. Reading, downloading, listing, syncing down, and deleting your existing content all keep working normally. The same applies if a subscription lapses and your account reverts to the free allowance while holding more data than it covers.
We do not delete your data for exceeding a storage limit. To get back under your allowance, delete content you no longer need or move to a larger plan.
We may set reasonable technical limits — for example on individual file size or request rates — to keep the service working for everyone.
7.Your content#
You own your content. Nothing in these terms transfers ownership of your files, notes, or anything else you store to us.
You grant us only the limited licence we need to run the service for you: to store, encrypt, transmit, copy for backup and redundancy, and display your content back to you and to anyone you deliberately share it with. This licence exists solely to operate Redwain Cloud and ends when you delete the content or close your account.
We do not use your content for advertising, and we do not use it to train machine-learning models. How your content is handled and protected — including the important fact that the service is not end-to-end encrypted — is described in our Privacy Policy.
You are responsible for the content you store: for having the right to store it, and for keeping your own backups of anything you cannot afford to lose.
8.Acceptable use#
You agree not to use Redwain Cloud to:
- store, share, or distribute content that is unlawful, or that infringes someone else’s intellectual property or privacy rights;
- store or distribute malware, or content designed to harm others’ systems;
- attempt to access another account’s data, defeat the isolation between accounts, or probe, scan, or test the security of the service without our written permission;
- circumvent storage limits, quotas, or billing — including by creating multiple accounts to obtain additional free allowance;
- place unreasonable load on the service, or use automated means to abuse the API;
- resell, sublicense, or provide the service to third parties as your own offering;
- use the AI assistant to generate unlawful content, or content intended to harass, defraud, or harm others.
If you find a security vulnerability, please report it to support@redwain.com rather than exploiting it. We will not pursue good-faith researchers who report promptly and do not access or destroy other users’ data.
9.Optional AI features#
The AI assistant is optional. It does nothing unless you use it.
- When you use the assistant, the content you submit is transmitted to a third-party AI provider for processing, as described in section 6 of the Privacy Policy. Do not submit content you are not permitted to share with a third-party processor.
- AI output may be inaccurate, incomplete, or misleading. It is generated by a statistical model, not verified by us. You are responsible for reviewing it before relying on it, and you should not treat it as professional advice of any kind.
- You are responsible for the content you submit to the assistant and for how you use its output.
- Assistant usage may be metered against a usage budget, and we may limit or suspend access to it — independently of your storage subscription — to control cost or abuse.
- The models available may change or be discontinued as upstream providers change theirs.
10.Third-party services#
Redwain Cloud runs on third-party infrastructure and uses third-party providers, including Amazon Web Services, Stripe, and OpenRouter. Those providers operate under their own terms, and we are not responsible for their acts, omissions, or outages beyond our own reasonable control.
11.Availability and changes#
We aim to keep Redwain Cloud running reliably, but the service is provided without an uptime guarantee or service-level agreement. We may perform maintenance, and we may add, change, or remove features. If we discontinue a material feature or the service itself, we will give you reasonable advance notice by email and a fair opportunity to export your data.
12.Backups are your responsibility#
Redwain Cloud is a sync and storage service, not a substitute for your own backup strategy. We keep redundant copies as part of operating the service, but you should maintain independent backups of anything you cannot lose.
13.Suspension and termination#
By you: you may stop using the service and close your account at any time. See section 5 for what happens to a paid subscription period you have already paid for.
By us: we may suspend or terminate your account if you materially breach these terms, if your payment fails and is not cured, if we are required to by law, or if your use presents a genuine security or stability risk to others. Except where the content is unlawful or the risk is urgent, we will give you notice and, where the problem can be fixed, a reasonable chance to fix it before suspending you.
After termination: we will give you a reasonable window — at least 30 days unless the law or an urgent safety issue prevents it — to export your content before it is deleted. Deletion then follows the retention schedule in the Privacy Policy.
14.Disclaimers#
To the fullest extent permitted by law, Redwain Cloud is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that data loss will never occur.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
15.Limitation of liability#
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost or corrupted data, arising out of or relating to these terms or the service, even if advised of the possibility.
Our total aggregate liability arising out of or relating to these terms or the service is limited to the amount you paid us for Redwain Cloud in the 12 months immediately before the event giving rise to the claim.
Nothing in these terms limits liability that cannot be limited by law, including for fraud or willful misconduct.
16.Indemnity#
You agree to indemnify and hold Redwain harmless from third-party claims, damages, and reasonable costs arising out of the content you store or transmit through the service, or your breach of these terms or of applicable law. This does not apply to claims caused by our own breach or misconduct.
17.Governing law and disputes#
These terms are governed by the laws of the State of [STATE], United States, excluding its conflict-of-law rules. The courts located in [STATE] have exclusive jurisdiction over any dispute, and both parties consent to that venue — except that either party may bring a qualifying claim in small-claims court.
Talk to us first. Before filing anything, please email support@redwain.com describing the problem and what you would like done about it. Most disputes can be resolved this way, and we agree to try in good faith for 30 days before either of us escalates.
18.Changes to these terms#
We may update these terms as the service changes. For material changes we will give you notice by email or through the portal before they take effect. Continuing to use the service after a change takes effect means you accept the updated terms; if you do not accept them, cancel your subscription and stop using the service.
19.General#
If any provision of these terms is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these terms without our consent; we may assign them to a successor in a merger, acquisition, or sale of assets. These terms, together with the Privacy Policy, are the entire agreement between us regarding Redwain Cloud.
